Agreement Overview
These Terms & Conditions ("Terms") govern your use of WithExpert.tech's website and services. By accessing our website or engaging our services, you agree to these Terms.
In simple terms: These are the rules for working with us. Read them before starting a project.
1. Services We Provide
What we offer:

- Web development (WordPress, custom PHP, e-commerce)
- Mobile app development (native iOS/Android, cross-platform)
- UI/UX design (wireframes, mockups, prototypes)
- Copywriting (website copy, landing pages, email sequences)
- Digital marketing consultation
How services are defined:
Each project begins with a proposal or statement of work that specifies scope of services, timeline and milestones, pricing and payment terms, deliverables and acceptance criteria, and revision rounds included.
What we promise:
- Professional quality work following industry standards
- Communication within 24 business hours
- Delivery according to agreed timeline (unless delays are caused by the client)
- Work performed by qualified professionals
What we do not promise:
- Specific search rankings (SEO results vary by competition and timeline)
- Guaranteed traffic increases (many factors are outside our control)
- Virus-free code under all circumstances
- Compatibility with all future browsers and devices as technology changes
2. Client Responsibilities
Your obligations:
Provide necessary information:
- Access to website (hosting, CMS credentials)
- Brand assets (logos, colors, fonts, imagery)
- Content (text, images, videos for website or marketing)
- Feedback within agreed timeframes
Timely responses:
- Review deliverables within 5 business days
- Provide feedback clearly and specifically
- Approve milestones to keep the project on schedule
Payment on time:
- Invoices are due within agreed payment terms (typically Net 15 or Net 30)
- Late payments may pause project work
- Repeated late payments may result in service termination
Legal compliance:
- Ensure content you provide does not infringe copyrights
- Comply with applicable laws (privacy, advertising, accessibility)
- Obtain necessary licenses for images, fonts, and software
If you do not meet these obligations:
- Project timeline may be extended
- Additional fees may apply for delays caused by missing information
- We may pause work until obligations are met
- Repeated failures may result in project termination
3. Payment Terms
Pricing structure:
Project-based pricing:
- Fixed price for a defined scope
- Typical milestones: 30% upfront, 40% mid-project, 30% upon completion
- Changes to scope may adjust pricing
Monthly retainers:
- Fixed monthly fee for ongoing services
- Invoiced on the 1st of each month
- Due within Net 15 or Net 30 (as agreed)
- 30 days notice required for cancellation
Hourly billing:
- Used for small additions or maintenance
- Tracked in 15-minute increments
- Invoiced monthly with detailed time logs
Payment methods accepted:
- Bank transfer (ACH or wire)
- Credit card (via Stripe, processing fees may apply)
- PayPal (processing fees may apply)
- Check for US clients (must clear before work begins)
Late payment policy:
- Grace period of 5 business days after due date
- After grace period: 1.5% monthly interest charge (18% annual)
- After 30 days overdue: work may be paused
- After 60 days overdue: account may be sent to collections
Invoice disputes:
If you dispute an invoice, contact us within 10 days of the invoice date with specific reasons. Pay any undisputed portion while we work together to resolve the issue, typically within 15 business days.
4. Project Timeline
How timelines work:
Estimated vs. guaranteed:
- Timelines are estimates based on typical projects, not guarantees
- Many factors can affect timing
- We communicate proactively if delays occur
What affects the timeline:
- Client feedback speed
- Revision requests beyond included rounds
- Technical complexities discovered during work
- Third-party dependencies (hosting, APIs, integrations)
- Scope changes and additions
Typical milestone structure:
- Phase 1: Discovery and planning
- Phase 2: Design and development
- Phase 3: Revisions (2–3 rounds typically)
- Phase 4: Launch and delivery
Timeline adjustments are communicated as soon as they are identified and documented via email. Delays caused by clients may extend the timeline without price adjustments.
5. Revisions and Changes
Most projects include 2–3 revision rounds, as specified in your proposal.
What counts as a revision:
- Changes to existing deliverables such as refinements and adjustments
- Clarifications and minor updates within the agreed scope
What counts as a change of scope:
- New features or pages not included in the original proposal
- Major design overhauls after approval
- Significant strategy changes partway through a project
Scope changes are handled via change requests that may adjust timeline and pricing. Unlimited revisions are not included unless explicitly stated.
6. Intellectual Property
What you own:
- Custom design work created specifically for your project
- Code written specifically for your project
- Content written specifically for your project
- Final deliverables after full payment
What we retain rights to:
- Pre-existing code libraries and internal frameworks
- Design templates or components reused across projects
- General methodologies and processes
- Portfolio rights (with your permission)
Third-party licensing:
- Stock photos and premium fonts may require separate licenses
- Third-party plugins, tools, and themes may require ongoing licenses
Ownership of work-in-progress remains with us until final payment is received. You are responsible for maintaining any third-party licenses required for your website or applications.
7. Confidentiality
We treat your business information as confidential. This includes business strategies, proprietary processes, customer data, financial information, and unreleased products or features.
We limit access to team members working on your project, use secure storage, and require confidentiality commitments. We may disclose information only when required by law, with your written consent, or to vetted service providers under confidentiality obligations.
Your obligation is to keep our proprietary methodologies, pricing, and access credentials confidential. Confidentiality obligations continue after the project ends, typically for 5 years, and some trade secrets may be protected indefinitely.
8. Warranties and Disclaimers
What we warrant:
- Work performed by qualified professionals following industry best practices
- Websites that function in major modern browsers and are mobile responsive
- Deliverables that match the agreed specifications at the time of delivery
A limited warranty period applies (typically 30 days after completion) to fix bugs or defects in deliverables. It does not cover new features, enhancements, or issues caused by client changes.
What we do not warrant:
- Specific SEO rankings, traffic levels, or revenue outcomes
- Future compatibility with all browsers, devices, or third-party APIs
- Third-party service uptime, security, or pricing
To the maximum extent permitted by law, services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
Our total liability for any claims related to our services is limited to the amount you paid us for the specific project in question.
We are not liable for lost profits or revenue, lost data, indirect or consequential damages, damages from third-party services, or damages from your misuse of deliverables. Exceptions may apply in cases of gross negligence, willful misconduct, or legal violations on our part.
10. Termination
How termination works:
You may terminate a project with written notice, paying for work completed and any non-refundable expenses. We may terminate if you breach these Terms, repeatedly pay late, or are abusive to team members, with notice where reasonable.
Upon termination you receive work completed and paid for, and we retain ownership of unpaid work-in-progress. Refunds, if any, are handled under our Refund Policy.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of our services, including claims related to content you provide, how you implement or modify deliverables, your business practices, or your violation of these Terms.
We in turn indemnify you for claims that our original work infringes third-party intellectual property rights, subject to limitations in our agreements.
12. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, war, government actions, major internet outages, pandemics, or labor strikes.
In such cases, timelines may be extended by the duration of the event, and if delays exceed a reasonable period, either party may discuss termination or adjustments in good faith.
13. Dispute Resolution
We prefer to resolve disputes through direct communication and cooperation. If we cannot resolve an issue informally, disputes may be handled according to the governing law and venue specified in your detailed agreement or invoice.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make changes, we update the "Last Updated" date at the top of this page. Continued use of our website or services after changes take effect means you accept the updated Terms.
